1. Scope and operator

These terms govern Scale Theme files, licenses, updates and related services offered through scaletheme.com and app.scaletheme.com. The operator is identified in our Legal Notice and is referred to as Scale, we or us. By purchasing or using our services, you agree to the terms applicable to that purchase or use. You must have legal capacity and authority to act for any business you represent.

2. What you purchase

Your order and checkout specify the edition, included features, store-license quantity, price, currency and any applicable taxes. A license purchase does not include a Shopify subscription, advertising spend, third-party subscriptions or custom development unless expressly stated. Sales are intended primarily for merchants and business use; any mandatory consumer rights that nevertheless apply remain protected.

3. License and ownership

Once payment is accepted, we grant a non-exclusive license to install and customize the purchased edition on the number of Shopify stores authorized by your order and account. Each production store requires its own authorized entitlement. Authorized customization for those stores is permitted. Theme ownership and intellectual-property rights remain with Scale or the relevant licensors; third-party and open-source components remain subject to their own licenses.

You must not resell, redistribute, sublicense, publicly share or market theme files or activation credentials, operate an unauthorized multi-store installation, or bypass licensing controls, except to the extent a restriction is prohibited by law or overridden by an applicable third-party license. Contractors may work on your authorized store under your responsibility without acquiring a separate right to distribute the theme. Store transfers or license reassignment must follow the supported process and must not create simultaneous unauthorized use.

4. Activation and service availability

Activation and continued license verification may require a connection to our licensing services and processing of your store domain, license credentials and security information. Protect those credentials. We may restrict unauthorized installations and suspend a license for a substantiated material breach, fraud, a reversed payment or a refunded order, subject to applicable law. Where appropriate we provide notice and an opportunity to resolve a breach. Contact support if you believe enforcement is incorrect. Store content remains yours; keep independent backups.

Network failures, maintenance and provider interruptions may temporarily affect online features. We do not promise uninterrupted availability, immunity from copying, particular search rankings, conversion rates, revenue or a specific performance score.

5. Delivery, updates and support

The product is delivered digitally through the purchase confirmation and/or your account; there is no physical shipment. Check your email and account and contact support if access is missing. Included update and support entitlements are those expressly offered at purchase. Unless your offer states otherwise, a one-time theme license is not a recurring subscription. Separate products, extra store licenses and paid services are not automatically included.

Support covers reasonable assistance with the supplied theme and reproducible product defects. Bespoke development and third-party app or custom-code work are outside ordinary support unless agreed. You should back up and review changes in an unpublished theme before publishing. Update tools cannot guarantee preservation of every third-party modification.

6. Your store and submitted material

You are responsible for lawful products, claims, customer communications, consent, tax compliance and operation of your Shopify store. You retain your content and grant only the permissions needed to process it for the services you request. Do not submit unlawful material, secrets or unnecessary personal data. Review AI-generated content and configurations before use; outputs can be inaccurate and are not legal or professional advice.

7. Payments, refunds and disputes

Our Refund Policy forms part of these terms. The checkout identifies the payment provider and, where applicable, merchant of record. That provider's buyer terms and lawful refund/dispute authority also apply. Contact us promptly about billing mistakes or access issues. Nothing prevents a legitimate payment dispute or limits statutory remedies; a policy cannot guarantee a chargeback outcome.

8. Warranties and liability

We will provide the product with reasonable care and meet non-excludable legal obligations. Except for express commitments and mandatory rights, the product is supplied as available without a guarantee that it suits every integration or business requirement. To the extent law permits, we exclude indirect or consequential business losses, including lost profits, advertising spend and business interruption, and our total contractual liability relating to a purchase is limited to the amount paid to Scale for the affected product. These limitations do not apply where prohibited, including liability that cannot lawfully be excluded for fraud, intentional misconduct, gross negligence, death or personal injury, or mandatory consumer remedies.

9. Ending access and changes

You may stop using the product at any time. Following valid termination or a refund that cancels the entitlement, stop using the affected licensed copies; your own content is not transferred to us. Clauses intended to survive termination remain effective. Material changes to ongoing services will be notified as required. Updated terms do not retrospectively remove rights attached to an earlier purchase.

10. Governing law and contact

These terms are governed by the laws of Türkiye, without depriving consumers of mandatory protections or forums available under applicable law in their habitual residence. Disputes are handled by competent courts or consumer bodies as applicable; we do not require consumers to waive protected local remedies.
